This End‑User License Agreement (“Agreement”, “EULA”) governs your use of the SplashBilling platform, services, software, website, and all related content provided by SplashBilling (“Company”, “we”, “us”, “our”).
By using SplashBilling, creating an account, or accessing any part of the Service, you agree to be bound by this Agreement. If you do not agree, you must not use the Service.
1. Definitions
- “Service” means the SplashBilling website, billing platform, dashboards, integrations, APIs, and any associated content.
- “User”, “You”, “Customer” means the person or entity using the Service.
- “Subscription” means your paid access to SplashBilling features on a recurring basis.
2. License Grant
We grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use SplashBilling solely for your internal business operations and in compliance with this Agreement.
No other rights are granted. You may not resell, sublicense, or reproduce any part of the Service except as permitted by law.

3. Eligibility
You must:
- Be at least 18 years old.
- Have the legal capacity to enter into a binding agreement.
- Not be located in prohibited or sanctioned jurisdictions as defined by applicable regulations.
4. Accounts & Security
- You are responsible for safeguarding your login credentials.
- You must notify us immediately of unauthorized access.
- You agree not to share your account with others or impersonate another entity.

5. Use of the Service
You agree not to:
- Use the Service for illegal activities or to violate applicable laws.
- Circumvent security features, reverse engineer, or modify the platform.

- Upload harmful code, spam, or fraudulent data.
6. Subscription, Billing & Payment Terms
- Access to premium features requires an active paid subscription.
- By subscribing, you authorize us (or our payment processor) to charge your payment method on a recurring basis.
- Fees are billed in the intervals displayed at checkout (monthly, annually, etc.).

7. Refunds & Cancellations

- Cancellation stops future billing but does not automatically grant a refund.
8. Service Availability & Modifications
We may modify, update, or discontinue parts of the Service at any time. Scheduled or emergency downtime may occur.

10. Acceptable Use
You may not use SplashBilling to:

- Process transactions for prohibited products/services

11. Intellectual Property
All software, content, marks, and technology used in SplashBilling are the exclusive property of the Company or its licensors. Nothing in this Agreement transfers intellectual property rights to the user.
12. Disclaimer of Warranties
The Service is provided “AS IS” and “AS AVAILABLE” with no warranties of any kind, whether express or implied.
We do not guarantee uninterrupted access, error-free operation, or suitability for any particular purpose.
13. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, or consequential damages.
- Our total liability to you will not exceed the amount paid to SplashBilling in the previous 12 months.
14. Indemnification
You agree to indemnify and hold harmless SplashBilling from any claims, damages, or expenses arising from your use of the Service, violation of this EULA, or misuse of integrated payment services.
15. Termination
We may suspend or terminate your access if:
- You violate this Agreement
- You engage in prohibited or fraudulent activity
- Required by law or our payment partners
You may terminate by canceling your subscription and discontinuing all use of the Service.
16. Governing Law
This Agreement is governed by the laws of Ontario/Canada, without regard to conflict‑of‑law rules.
17. Changes to This Agreement
We may update this Agreement at any time. Continued use of the Service after changes are posted constitutes acceptance of the updated terms.
