If you do not agree, you must not use the Service.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>1. Definitions<\/strong><\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>\u201cService\u201d<\/strong> means the SplashBilling website, billing platform, dashboards, integrations, APIs, and any associated content.<\/li>\n\n\n\n<li><strong>\u201cUser\u201d, \u201cYou\u201d, \u201cCustomer\u201d<\/strong> means the person or entity using the Service.<\/li>\n\n\n\n<li><strong>\u201cSubscription\u201d<\/strong> means your paid access to SplashBilling features on a recurring basis.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>2. License Grant<\/strong><\/h2>\n\n\n\n<p>We grant you a <strong>limited, non\u2011exclusive, non\u2011transferable, revocable license<\/strong> to access and use SplashBilling solely for your internal business operations and in compliance with this Agreement.<\/p>\n\n\n\n<p>No other rights are granted. You may not resell, sublicense, or reproduce any part of the Service except as permitted by law.<\/p>\n\n\n\n<p>Intuit\/QuickBooks also requires that EULAs outline usage rights and restrictions for apps or integrated platforms. <a href=\"https:\/\/help.developer.intuit.com\/s\/question\/0D54R00008EI9m2SAD\/where-do-i-find-the-eula-privacy-policy-urls-in-production-settings\">[help.devel&#8230;intuit.com]<\/a><\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>3. Eligibility<\/strong><\/h2>\n\n\n\n<p>You must:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Be at least <strong>18 years old<\/strong>.<\/li>\n\n\n\n<li>Have the legal capacity to enter into a binding agreement.<\/li>\n\n\n\n<li>Not be located in prohibited or sanctioned jurisdictions as defined by applicable regulations.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>4. Accounts &amp; Security<\/strong><\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>You are responsible for safeguarding your login credentials.<\/li>\n\n\n\n<li>You must notify us immediately of unauthorized access.<\/li>\n\n\n\n<li>You agree not to share your account with others or impersonate another entity.<\/li>\n<\/ul>\n\n\n\n<p>Intuit\u2019s compliance requirements emphasize proper security and lawful account activity. <a href=\"https:\/\/quickbooks.intuit.com\/payments\/legal\/toc102017\/acceptable-use\/\">[quickbooks&#8230;intuit.com]<\/a><\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>5. Use of the Service<\/strong><\/h2>\n\n\n\n<p>You agree <strong>not<\/strong> to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Use the Service for illegal activities or to violate applicable laws.<\/li>\n\n\n\n<li>Circumvent security features, reverse engineer, or modify the platform.<\/li>\n\n\n\n<li>Use SplashBilling to process payments in prohibited industries or in violation of provider AUPs (including payment processors). <a href=\"https:\/\/quickbooks.intuit.com\/payments\/legal\/toc102017\/acceptable-use\/\">[quickbooks&#8230;intuit.com]<\/a><\/li>\n\n\n\n<li>Upload harmful code, spam, or fraudulent data.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>6. Subscription, Billing &amp; Payment Terms<\/strong><\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Access to premium features requires an active paid subscription.<\/li>\n\n\n\n<li>By subscribing, you authorize us (or our payment processor) to charge your payment method on a recurring basis.<\/li>\n\n\n\n<li>Fees are billed in the intervals displayed at checkout (monthly, annually, etc.).<\/li>\n<\/ul>\n\n\n\n<p>If you use QuickBooks Payments or integrate with Intuit services, payment transactions must follow applicable processor terms. <a href=\"https:\/\/quickbooks.intuit.com\/payments\/legal\/toc102017\/acceptable-use\/\">[quickbooks&#8230;intuit.com]<\/a><\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>7. Refunds &amp; Cancellations<\/strong><\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Refunds are handled according to our <strong>Refund &amp; Cancellation Policy<\/strong>, available at:<br>https:\/\/www.splashbilling.com\/refunds<\/li>\n\n\n\n<li>Certain plans may be non\u2011refundable.<\/li>\n\n\n\n<li>Cancellation stops future billing but does not automatically grant a refund.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>8. Service Availability &amp; Modifications<\/strong><\/h2>\n\n\n\n<p>We may modify, update, or discontinue parts of the Service at any time. Scheduled or emergency downtime may occur.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>9. Data, Privacy &amp; Security<\/strong><\/h2>\n\n\n\n<p>Your use of the Service is also governed by our <strong>Privacy Policy<\/strong>, available at:<br>https:\/\/www.splashbilling.com\/privacy<\/p>\n\n\n\n<p>If you process payment data, you must comply with applicable payment security rules such as PCI DSS. <a href=\"https:\/\/developer.intuit.com\/app\/developer\/qbpayments\/docs\/learn\/ensure-data-security\">[developer.intuit.com]<\/a><\/p>\n\n\n\n<p>We do <strong>not<\/strong> store full credit card numbers or CVV codes; all payments are processed by third\u2011party processors.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>10. Acceptable Use<\/strong><\/h2>\n\n\n\n<p>You may <strong>not<\/strong> use SplashBilling to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Conduct fraudulent billing practices<\/li>\n\n\n\n<li>Process transactions for prohibited products\/services<\/li>\n\n\n\n<li>Violate intellectual property rights<\/li>\n\n\n\n<li>Harass, abuse, or harm others<\/li>\n<\/ul>\n\n\n\n<p>Violation of acceptable-use guidelines may result in account suspension or termination. <a href=\"https:\/\/quickbooks.intuit.com\/payments\/legal\/toc102017\/acceptable-use\/\">[quickbooks&#8230;intuit.com]<\/a><\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>11. Intellectual Property<\/strong><\/h2>\n\n\n\n<p>All software, content, marks, and technology used in SplashBilling are the exclusive property of the Company or its licensors. Nothing in this Agreement transfers intellectual property rights to the user.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>12. Disclaimer of Warranties<\/strong><\/h2>\n\n\n\n<p>The Service is provided <strong>\u201cAS IS\u201d and \u201cAS AVAILABLE\u201d<\/strong> with no warranties of any kind, whether express or implied.<br>We do not guarantee uninterrupted access, error-free operation, or suitability for any particular purpose.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>13. Limitation of Liability<\/strong><\/h2>\n\n\n\n<p>To the maximum extent permitted by law:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>We are <strong>not liable<\/strong> for indirect, incidental, or consequential damages.<\/li>\n\n\n\n<li>Our total liability to you will not exceed the amount paid to SplashBilling in the previous 12 months.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>14. Indemnification<\/strong><\/h2>\n\n\n\n<p>You agree to indemnify and hold harmless SplashBilling from any claims, damages, or expenses arising from your use of the Service, violation of this EULA, or misuse of integrated payment services.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>15. Termination<\/strong><\/h2>\n\n\n\n<p>We may suspend or terminate your access if:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>You violate this Agreement<\/li>\n\n\n\n<li>You engage in prohibited or fraudulent activity<\/li>\n\n\n\n<li>Required by law or our payment partners<\/li>\n<\/ul>\n\n\n\n<p>You may terminate by canceling your subscription and discontinuing all use of the Service.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>16. Governing Law<\/strong><\/h2>\n\n\n\n<p>This Agreement is governed by the laws of <strong>Ontario\/Canada<\/strong>, without regard to conflict\u2011of\u2011law rules.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>17. Changes to This Agreement<\/strong><\/h2>\n\n\n\n<p>We may update this Agreement at any time.
